IEPF Claims & Refunds

Recover Your Unclaimed Shares & Dividends with Wealth and Legal Associates
The Investor Education and Protection Fund (IEPF) was established under Section 205C of the Companies Act, 1956, through the Companies (Amendment) Act, 1999, with the objective of promoting investor awareness and safeguarding investors' interests.
Subsequently, under Section 125(5) of the Companies Act, 2013, the IEPF Authority was constituted to administer the IEPF and process claims relating to:
-
Unclaimed shares
-
Unclaimed dividends
-
Matured debentures
-
Matured deposits
-
Other eligible investor refunds
The Authority also undertakes initiatives to enhance investor education and awareness across India.
Transfer of Unclaimed Dividends to IEPF
Under Section 124(1) of the Companies Act, 2013, every company is required to transfer any dividend that remains unpaid or unclaimed for 30 days from the date of declaration to a designated Unpaid Dividend Account within 7 days after the expiry of the 30-day period.
As per Section 124(5), if the amount lying in the Unpaid Dividend Account remains unclaimed for seven consecutive years, it must be transferred to the Investor Education and Protection Fund (IEPF).
Consequently, investors who have not claimed their dividends for seven consecutive years must apply to the IEPF Authority to recover those dividends.
Transfer of Shares to IEPF
In accordance with Section 124(6) of the Companies Act, 2013, shares on which dividends have remained unclaimed for seven consecutive years or more are also required to be transferred by the company to the IEPF Authority.
Accordingly, investors whose shares have been transferred to the IEPF can reclaim both their shares and the related unpaid dividends only by following the prescribed claim procedure before the IEPF Authority.
The Scale of Unclaimed Investments
According to the latest Consultation Paper on the Refund Process at the IEPF Authority, approximately:
-
₹5,685 Crores worth of unclaimed dividends have been transferred to the IEPF.
-
Around 117 Crore shares have been transferred to the IEPF.
Based on prevailing market values, these unclaimed shares are estimated to be worth nearly ₹50,000 Crores, highlighting the enormous value that remains unclaimed by investors and their legal heirs.
IEPF Claim Process
Reclaiming shares or dividends from the IEPF Authority involves multiple legal and procedural steps. The process generally includes:
1. Filing Form IEPF-5
The claimant must submit Form IEPF-5 on the Ministry of Corporate Affairs (MCA) portal. The application requires information such as:
-
Applicant details
-
PAN and Aadhaar details
-
Company details with CIN
-
Demat account information
-
Details of shares to be claimed
-
Details of unclaimed dividends
2. Submission of Documents
After filing the online application, the claimant must send a signed copy of Form IEPF-5, along with the acknowledgement (SRN) and supporting documents, in an envelope marked "Claim for Refund from IEPF Authority" to the company's IEPF Nodal Officer or Registrar & Transfer Agent (RTA).
3. Verification by the Company
Upon receipt of the claim, the company is required to examine the documents, prepare a Verification Report, and submit the same to the IEPF Authority within the prescribed timeline.
4. Processing by the IEPF Authority
After receiving the Verification Report from the company, the IEPF Authority examines the claim and, upon satisfaction, processes the refund and transfer of shares/dividends to the claimant.
Common Reasons for Delay or Rejection of IEPF Claims
Although the Government has taken several steps to simplify the IEPF refund mechanism, the process remains highly technical—particularly for senior citizens, NRIs, foreign nationals, legal heirs, and successors.
Claims are frequently delayed or rejected due to documentation errors and procedural non-compliance. Some of the most common mistakes include:
-
Name mismatch with the PAN database.
-
Date of birth not matching PAN records.
-
PAN not verified.
-
Incorrect Aadhaar number.
-
Incorrect Passport, OCI, or PIO details for foreign applicants.
-
Incorrect selection of Rule 7 under the IEPF Rules.
-
Wrong treatment of joint holding or name deletion cases.
-
Incorrect details of the deceased shareholder or beneficiary.
-
Wrong folio number.
-
Incorrect number of shares claimed.
-
Incorrect dividend details.
-
Wrong financial year mentioned.
-
Incorrect bank or Demat account details.
-
Submission of incomplete or incorrect supporting documents.
-
Failure to attach mandatory documents.
Even minor discrepancies may significantly delay the processing of the claim.
