Dematerialisation of Physical Shares

Convert Your Physical Share Certificates into Demat Form with Wealth and Legal Associates

There was a time when the Indian stock market operated through the open outcry system, where investors were required to be physically present to buy or sell shares. During that period, ownership of shares was represented by physical share certificates, making paperwork an essential part of every transaction.

With the rapid advancement of technology, the Indian securities market has undergone a complete transformation. Today, trading is conducted electronically through secure online platforms, making the process faster, safer, and more efficient.

In line with these developments, the Securities and Exchange Board of India (SEBI) has made it mandatory for investors to hold securities in Demat (Dematerialised) form for buying, selling, or transferring shares. This initiative enhances transparency, minimizes fraud, and ensures seamless record-keeping.

However, many investors still possess physical share certificates and are unsure of the procedure to convert them into electronic form. Wealth and Legal Associates provides end-to-end assistance in converting physical shares into Demat form and resolving all related shareholding issues.

Understanding the Basics

1. Dematerialisation

Dematerialisation is the process of converting physical share certificates into electronic securities, which are securely held in a Demat account.

2. Demat Account

A Demat Account is an electronic account used to hold shares and other securities in digital form. It eliminates the need for physical certificates and enables seamless online transactions.

3. Depository Participant (DP)

A Depository Participant (DP) acts as an intermediary between the investor and the depository. Banks, stockbrokers, NBFCs, and other SEBI-registered financial institutions can function as DPs and facilitate the opening and operation of Demat accounts.

4. Depository

A Depository is an organization that holds securities electronically on behalf of investors. In India, the two SEBI-registered depositories are:

  • National Securities Depository Limited (NSDL)

  • Central Depository Services (India) Limited (CDSL)

Process for Converting Physical Shares into Demat Form

The dematerialisation process involves the following steps:

Step 1: Open a Demat Account

Open a Demat Account through a SEBI-registered Depository Participant by completing the prescribed application form and submitting the required KYC documents.

Step 2: Complete the Account Formalities

Review and sign the agreement with the Depository Participant outlining your rights, responsibilities, and applicable charges. Upon successful verification, a Demat Account Number will be allotted.

Step 3: Submit the Dematerialisation Request

Fill out the Dematerialisation Request Form (DRF) and submit it along with the original physical share certificates to your Depository Participant.

Note: Separate DRFs are required for shares belonging to different companies.

Step 4: Verification by Depository Participant

The DP verifies the submitted documents and issues a Dematerialisation Request Number (DRN) as an acknowledgment.

Step 5: Processing by the Company

After successful verification, the DP forwards the dematerialisation request to the concerned company or its Registrar & Transfer Agent (RTA) for approval.

Step 6: Conversion into Electronic Form

Once approved, the physical share certificates are cancelled and destroyed to prevent duplication or misuse. The equivalent securities are credited electronically to your Demat Account.

Step 7: Start Trading Digitally

After dematerialisation, the shares become available in your Demat Account and can be bought, sold, or transferred conveniently through online trading platforms.

The process generally involves:

  • Filing a First Information Report (FIR) with the local police.

  • Publishing a loss notification in a newspaper, wherever required.

  • Executing an Affidavit declaring the loss of share certificates.

  • Executing an Indemnity Bond with the signatures of witnesses and sureties.

  • Submission of supporting documents of sureties, including:

    1. Self-attested PAN Card

    2. Address Proof

    3. Income Proof

  • Submission of all required documents to the Company or its Registrar & Transfer Agent.

Upon verification of the documents, the Company or RTA will issue either a Duplicate Share Certificate or a Letter of Confirmation, as applicable.
