What is Transmission of Shares?
Transmission of shares refers to the transfer of ownership of shares by operation of law, unlike a voluntary transfer between two parties. It generally occurs due to the death, insolvency, or incapacity of a shareholder.
When a shareholder passes away, the process of transferring the ownership and rights in the shares to the legal heirs or successors is known as Transmission of Shares.

Transmission of Shares
There are two types of succession:
Testamentary Succession
If the deceased shareholder has left a valid Will, the succession is known as testamentary succession. In such cases, the executor or beneficiary is generally required to obtain Probate of the Will from the competent court before the shares can be transmitted.
Intestate Succession
If the deceased shareholder dies without leaving a Will, it is known as intestate succession. In such cases, the legal heirs must obtain a Succession Certificate, Letter of Administration, or other applicable legal documents, depending on the circumstances and applicable law.

Important Legal Documents for Transmission of Shares
Probate of Will
A Probate of Will is a court-issued certificate confirming the authenticity of a deceased person's Will. It authorizes the executor named in the Will to administer and distribute the deceased's assets, including shares.
Succession Certificate
A Succession Certificate is issued by the competent District Court when a person dies without leaving a Will. It legally authorizes the holder to collect, manage, and transfer the debts and securities, including shares, belonging to the deceased.
Letter of Administration (LOA)
A Letter of Administration is issued by a competent court authorizing an individual to administer the estate of a deceased person where:
-
No valid Will exists; or
-
No executor has been appointed or is willing to act.
The administrator is empowered to manage and distribute the assets in accordance with the applicable succession laws.
Legal Heir Certificate / Surviving Member Certificate
A Legal Heir Certificate or Surviving Member Certificate establishes the identity of the legal heirs or surviving family members of the deceased. These documents are often required by companies, Registrars & Transfer Agents (RTAs), banks, and other authorities during the transmission process.
